1. Agreement to Terms
By accessing or using Copperline ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms in their entirety, you may not use the Service. These terms apply to all users of the Service, including individuals who access the Service on a trial basis and those with active paid subscriptions.
The Service is offered by Copperline to businesses and their authorized employees. By creating an account, you represent that you have the authority to enter into these terms on behalf of your business.
2. Your Account
You are responsible for maintaining the confidentiality of your login credentials. Use a strong, unique password and do not share your account credentials with individuals outside your organization. If you believe your account has been compromised, contact us immediately at support@copperlinehq.com.
You are responsible for all activity that occurs under your account, including activity by team members and employees you invite as users. You are responsible for ensuring that the people you add to your account understand and comply with these terms.
You must provide accurate and current information when creating your account. Accounts registered with false information may be suspended without notice.
3. Acceptable Use
You agree to use the Service only for lawful business purposes and in accordance with these terms. The following are prohibited:
- Using the Service to engage in any unlawful activity or to facilitate illegal conduct
- Attempting to probe, scan, or test the vulnerability of the Service or any related system or network
- Scraping, harvesting, or otherwise extracting data from the Service in an automated way without our prior written permission
- Reselling, sublicensing, or otherwise transferring access to the Service to any third party
- Introducing malware, viruses, trojan horses, or other malicious code into the Service
- Impersonating another person or entity, or misrepresenting your affiliation with any person or entity
- Using the Service in any way that could damage, disable, overburden, or impair it or interfere with other users' use of the Service
We reserve the right to investigate violations of these rules and to suspend or terminate accounts found to be in violation, without refund.
4. Payment, Renewal, and Cancellation
Subscriptions are billed monthly. Your subscription renews automatically on the same calendar day each month until you cancel. We charge the payment method on file at renewal. If your payment fails, we will notify you and provide a short grace period before suspending access to the Service.
You may cancel your subscription at any time from Settings within the application. When you cancel, your access continues through the end of the current billing period — we do not prune your data or revoke access before that period ends. We do not issue refunds for partial months or unused time remaining in a billing period.
Trial users who do not add a payment method and select a plan by the end of their trial period will have their accounts paused. No charge is applied until you explicitly select a paid plan. You will not be auto-charged at the end of a trial.
Prices are subject to change. We will provide at least 30 days' notice before increasing the price of your current plan.
5. Your Data
Your data is yours. You retain all rights to the data you enter into Copperline — your customer records, jobs, permits, inspections, documents, and everything else. You can export all of your data to CSV at any time from Settings → Data Export, regardless of your subscription status.
We process your data solely to provide and improve the Service. We do not sell your data to third parties, and we do not use your operational business data (your customers, jobs, permit details, inspection records, etc.) for any purpose other than operating your account and improving the product through aggregate, anonymized usage patterns.

6. Service Availability
We work hard to keep Copperline running reliably and treat downtime as an incident requiring prompt response and root-cause analysis. That said, we do not provide a specific uptime SLA at the current service tier. The Service is provided "as is" from an availability standpoint.
Scheduled maintenance windows are communicated via email and/or in-app notice in advance where possible. For unplanned outages, we will communicate status updates as quickly as we are able. We are not liable for losses or damages resulting from downtime, data delays, or service interruptions.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Copperline's total cumulative liability to you for any claim arising out of or relating to these Terms of Service or your use of the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.
In no event shall Copperline be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption — even if we have been advised of the possibility of such damages and regardless of the theory of liability.
8. Changes to These Terms
We may update these Terms of Service from time to time. For material changes — changes that affect your rights or obligations in a meaningful way — we will notify you by email at least 30 days before the updated terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the updated terms. If you disagree with a material change, you may cancel your account before that date.
Minor changes — such as clarifications, formatting corrections, or adjustments that do not affect your rights — may be made without advance notice. We will always update the "Last updated" date at the top of this page when any change is made.
9. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of Tennessee, United States, without regard to its conflict-of-law provisions. Any legal action or proceeding arising under or relating to these terms shall be brought exclusively in the courts located in Tennessee, and you consent to personal jurisdiction in those courts.
